1. Introduction

1.1 Contract

When you use our Services you agree to all of these terms. Your use of our Services is also subject to our Cookie Policy and our Privacy Policy, which covers how we collect, use, share, and store your personal information.

By creating a noresume account or accessing or using our Services (described below), you are agreeing to enter into a legally binding contract with NORESUME LTD (even if you are using third-party credentials or using our Services on behalf of a company). If you do not agree to this contract ("Contract" or "User Agreement"), do not create an account or access or otherwise use any of our Services. If you wish to terminate this Contract at any time, you can do so by closing your account and no longer accessing or using our Services.

Services

This Contract applies to noresume.co, noresume-branded apps, and other noresume-related sites, apps, communications, and other services that state that they are offered under this Contract ("Services"). Our Services include:

• Blind-matching talent discovery
• Engagement management for short-term and permanent placements
• In-app messaging and video interviews
• Scheduling and availability management
• Payment processing, escrow, and invoicing
• Shift verification for short-term engagements
• AI-assisted CV builder and profile management
• Market intelligence and salary insights
• Referral programme

You are entering into this Contract with NORESUME LTD (also referred to as "we" and "us"), a company registered in England and Wales.

As a User of our Services, the collection, use, and sharing of your personal data is subject to our Privacy Policy, our Cookie Policy and other documents referenced in our Privacy Policy, and updates. You acknowledge and have read our Privacy Policy.

Modern Slavery Statement

We are committed to ensuring that there is no modern slavery or human trafficking in our supply chains or in any part of our business.

1.2 Talent, Companies, and Visitors

This Contract applies to Talent, Companies, and Visitors.

When you register and join the noresume Services as someone seeking engagements or making yourself available for work, you become "Talent". When you register as a company or organisation looking to find and engage talent, you become a "Company". If you have chosen not to register for our Services, you may access certain features as a "Visitor".

noresume is a talent exchange where Companies discover and approach Talent through blind matching based on skills and experience, rather than traditional applications and CVs.

1.3 Changes

We may modify this Contract, our Privacy Policy and our Cookie Policy from time to time. If we make material changes, we will provide you notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If you object to any of these changes, you may close your account. Your continued use of our Services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms as of their effective date.

2. Obligations

2.1 Service Eligibility

The Services are not for use by anyone under the age of 18.

To use the Services, you agree that: (1) you must be at least 18 years old; (2) you will only have one noresume account per user type (one as Talent, one as a Company if applicable), which must be in your real name or legitimate business name; and (3) you are not already restricted by noresume from using the Services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 18.

Right to Work

Talent must have the legal right to work in the United Kingdom in the manner they intend to engage through our Services. This includes ensuring that any engagement undertaken through our Services is permitted under their current immigration status or visa conditions, including any restrictions on self-employment, working hours, or type of work.

Talent are solely responsible for understanding their own right to work status and for complying with any conditions attached to their visa or immigration status. Providing false information about your right to work is a breach of these Terms and may result in immediate termination of your account.

Where Talent are engaged directly as employees by a Company (for example, through a permanent placement), the Company is responsible for conducting any right to work checks required by law. noresume does not conduct right to work checks and is not responsible for verifying the immigration status of any User.

2.2 Your Account

You will keep your password a secret. You will not share your account with anyone else and will follow our policies and the law.

You agree to: (1) protect against wrongful access to your account (e.g., use a strong password and keep it confidential); (2) not share or transfer your account or any part of it; and (3) follow the law, our list of Dos and Don'ts (below), and our Professional Community Policies. You are responsible for anything that happens through your account unless you close it or report misuse.

Identity and Tax Verification

noresume may require that you verify your identity. You may be presented with different options for verification, including verification via a third-party service.

For Talent: If you are self-employed, operating as a sole trader, partnership, or through a limited company, you may be required to verify your business and tax registration status.

VAT Registration Verification:

• Talent who claim VAT-registered status consent to verification of their VAT number with HMRC's VAT registration database
• We will verify your VAT number matches your declared business name and address
• We may perform periodic re-verification to maintain accurate records
• Providing false VAT information is a breach of these Terms

For Companies: You may be required to verify your company registration details via Companies House. Providing false company information is a breach of these Terms.

2.3 Payment

You will honour your payment obligations and you are okay with us storing your payment information. You understand that there may be fees and taxes that are added to our prices.

For Companies:

• You agree to pay all applicable fees for engagements made through the platform
• Fees are calculated in accordance with the fee schedule displayed at the time of engagement and may be updated from time to time
• For short-term engagements, payment is collected in advance and held in escrow until work is verified and the release period has passed
• For permanent placements, a recruitment fee is payable upon acceptance of an offer
• All fees are stated in GBP (British Pounds) and are exclusive of VAT, which will be added where applicable
• Refunds are subject to our refund policy
• We may store and continue billing your payment method (e.g., credit card), even after it has expired, to avoid interruptions in your Services. You may update or change your payment method
• We may calculate taxes payable by you based on the billing information that you provide us
• If you have an unpaid or outstanding invoice or account balance, noresume reserves the right to suspend or terminate your use of the Services

For Talent:

• Talent do not pay to create profiles or to be matched with engagement opportunities
• Payments for completed engagements are processed according to our payment schedule
• You are responsible for your own tax obligations
• You must maintain a valid payment account (e.g., Stripe Connect) to receive payments

2.4 Notices and Messages

You agree that we will provide notices and messages to you in the following ways: (1) within the Services or (2) sent to the contact information you provided us (e.g., email, mobile number, physical address). You agree to keep your contact information up to date.

2.5 Sharing

When you share information on our Services, others can see, copy and use that information.

For Talent: Your skills, experience, availability, and rates are visible to Companies through our blind-matching system. Your full identity is not disclosed until you and a Company have mutually engaged. You can control your visibility settings.

For Companies: Your engagement listings and company profile are visible to Talent when a match is initiated. Information about your company and the engagement will be shared with matched Talent.

To the extent that laws allow this, we are not obligated to publish any content or other information on our Services and can remove it with or without notice.

3. Rights and Limits

3.1 Your Licence to noresume

You own all of your original content that you provide to us, but you also grant us a non-exclusive licence to it.

As between you and noresume, you own your original content that you submit or post to the Services (including profiles, CVs, engagement listings, and messages).

You grant noresume and our affiliates a worldwide, transferable and sublicensable right to use, copy, modify, distribute, publicly perform and display, host, and process your content and other information. These rights are limited in the following ways:

• You can end this licence for specific content by deleting such content from the Services, or generally by closing your account, except (a) to the extent you shared it with others as part of the Services and they copied, re-shared it or stored it, (b) we had already sublicensed others prior to your content removal or closing of your account, or (c) we are required by law to retain or share it with others, and (d) for the reasonable time it takes to remove from backup and other systems.
• We will not include your content in advertisements for the products and services of third parties to others without your separate consent. However, we may use aggregated and anonymised data from your usage to improve our matching algorithms and Services.
• We will honour the privacy settings you choose, including your blind-matching visibility preferences.
• While we may edit and make format changes to your content (such as parsing CV data, reformatting for consistency, or extracting keywords for matching), we will not materially modify the meaning of your content.
• We may use your data in anonymised and aggregated form to develop and improve our matching algorithms, understand market trends, provide market intelligence features, and enhance our Services.
• We may use your content to facilitate video interviews, including recording and transcription where consented to.

You promise to only provide content and other information that you have the right to share and that your profile information will be truthful.

3.2 Service Availability

We may change, suspend or discontinue any of our Services. We may also limit the availability of features, content and other information.

We do not promise to store or show (or keep showing) any information (including content) that you have shared. noresume is not a permanent storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or other information that you or others provide, except to the extent required by applicable law and as noted in our Privacy Policy.

3.3 Other Content, Sites and Apps

Your use of others' content and information posted on our Services is at your own risk. Others may offer their own products and services through our Services, and we are not responsible for those third-party activities.

By using the Services, you may encounter content or other information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive, or otherwise harmful. You agree that we are not responsible for content or other information made available through or within the Services by others.

External Sites: The Services may link to other sites on the internet which are owned and operated by third parties ("External Sites"). We are not responsible or liable for any External Site, including availability or content. Links to External Sites may be removed at any time.

3.4 Limits

noresume reserves the right to limit your use of the Services, including the number of messages you can send or engagement listings you can create. noresume reserves the right to restrict, suspend, or terminate your account if you breach this Contract or the law or are misusing the Services.

We can also remove any content or other information you shared if we believe it violates our Professional Community Policies or Dos and Don'ts or otherwise violates this Contract.

3.5 Intellectual Property Rights

noresume reserves all of its intellectual property rights in the Services. Trademarks and logos used in connection with the Services are the trademarks of their respective owners. noresume, and noresume logos and other noresume trademarks, service marks, graphics and logos used for our Services are trademarks or registered trademarks of NORESUME LTD.

3.6 Automated Matching and Classification

We use the data and other information that you provide (including profile content, skills, experience, availability, rates, and engagement requirements) to:

• Match Talent with suitable engagements based on skills, experience, and availability
• Recommend Talent to Companies based on their requirements
• Analyse market data and provide salary insights
• Improve platform performance and matching accuracy

Our matching system may use one or more occupational classification systems including, but not limited to, ISCO-08, ESCO, UK SOC, ANZSCO, O*NET, US SOC, NOC, and other international, national, or proprietary classification frameworks, skills taxonomies, and data sources to facilitate matching.

By using our Services, you consent to automated processing of your data for these purposes. You acknowledge that while we strive for accuracy, automated matching may not always be perfect, and you should review all matches and recommendations carefully.

3.7 No Employment Relationship

You acknowledge and agree that:

• noresume does not employ Talent or act as an employer
• We do not guarantee the quality or outcome of any engagement
• We do not make hiring decisions for Companies
• We do not make IR35 determinations on behalf of either party. It is the responsibility of the relevant parties to assess their own employment status in accordance with HMRC guidance
• We do not participate in the working relationship between Talent and Companies
• Right to work verification, where required by law, is the responsibility of the engaging Company (for direct hire engagements) and the Talent (for all engagements). noresume does not conduct right to work checks
• Any matching or recommendations provided by our Services are based on automated algorithms and user-provided data, and we make no warranties about their accuracy or suitability
• All engagement terms, work quality, and working relationships are solely between the Talent and Company
• We are not an employment agency, recruitment firm, or employer
• Talent are solely responsible for verifying the legitimacy of engagement opportunities and Companies
• Companies are solely responsible for verifying the qualifications, background, and suitability of Talent, including any right to work checks required by law for direct employment relationships
• We are not liable for any damages or losses resulting from interactions between Users, including but not limited to poor performance, misrepresentation of qualifications, workplace disputes, or unsuccessful engagements

Users must conduct their own due diligence before entering into any engagement or agreement.

4. Disclaimer and Limit of Liability

4.1 No Warranty

NORESUME AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE SERVICES (INCLUDING CONTENT AND INFORMATION) ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, NORESUME AND ITS AFFILIATES DISCLAIM ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

4.2 Exclusion of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW (AND UNLESS NORESUME HAS ENTERED INTO A SEPARATE WRITTEN AGREEMENT THAT OVERRIDES THIS CONTRACT), NORESUME, INCLUDING ITS AFFILIATES, WILL NOT BE LIABLE IN CONNECTION WITH THIS CONTRACT FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION, LOSS OF DATA OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES.

4.3 Basis of the Bargain; Exclusions

The limitations of liability in this Section 4 are part of the basis of the bargain between you and noresume and shall apply to all claims of liability even if noresume or its affiliates has been told of the possibility of any such damage, and even if these remedies fail their essential purpose.

THESE LIMITATIONS OF LIABILITY DO NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY LIABILITY THAT CANNOT BE EXCLUDED BY LAW.

5. Termination

Both you and noresume may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services. The following shall survive termination:

• Our rights to use and disclose your feedback
• Your payment obligations for any outstanding fees or invoices
• Sections 3, 4, 6, 7, and 8.2 of this Contract
• Any amounts owed by either party prior to termination remain owed after termination
• We may retain data as required by law, including financial records for 6 years in accordance with UK tax law

6. Governing Law and Dispute Resolution

You and noresume agree that the laws of England and Wales, excluding its conflict of laws rules, shall exclusively govern any dispute relating to this Contract and/or the Services. You and noresume both agree that all claims and disputes can be litigated only in the courts of England and Wales, and you and noresume each agree to personal jurisdiction in those courts.

7. General Terms

If a court with authority over this Contract finds any part of it unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and we agree to ask the court to remove that unenforceable part and still enforce the rest of this Contract.

This Contract is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.

If we do not act to enforce a breach of this Contract, that does not mean that noresume has waived its right to enforce this Contract. You may not assign or transfer this Contract to anyone without our consent. However, you agree that noresume may assign this Contract to its affiliates or a party that buys it without your consent.

"Including" means "including without limitation."

8. noresume "Dos and Don'ts"

8.1 Dos

You agree that you will:

• Comply with all applicable laws, including privacy laws, intellectual property laws, anti-spam laws, tax laws, and employment laws
• Provide accurate information in your profile, CV, or engagement listings
• Use your real name (Talent) or legitimate business name (Companies)
• Use the Services in a professional manner
• For Companies: Provide accurate engagement descriptions and treat all Talent fairly and in compliance with applicable laws
• For Talent: Keep your profile, skills, availability, and rates accurate and up to date
• Respect the intellectual property rights of others
• Report any violations of these terms or illegal content to noresume
• Maintain the security of your account credentials
• Conduct all engagement-related payments through the noresume platform

8.2 Don'ts

You agree that you will not:

• Create a false identity on noresume or misrepresent your qualifications, experience, or company
• Use the Services to undertake work that is not permitted under your visa or immigration status
• Use automated tools, bots, or scripts to scrape data or send messages
• Override any security feature or bypass any access controls
• Share login credentials or allow others to use your account
• Post discriminatory engagement listings or engage in discriminatory practices
• Submit false or misleading profile information
• Use the Services to collect information for competing services
• Spam other users with unsolicited messages
• Post or share content that is illegal, offensive, or violates others' rights
• Reverse engineer or attempt to derive the source code of our Services
• Use our Services for any unlawful purpose
• Manipulate or game our matching algorithms
• Create multiple accounts to circumvent restrictions or gain unfair advantages
• Use contact information obtained through our Services for purposes other than legitimate engagement-related communications
• Charge Talent fees for being matched or engaged through our platform (for Companies)
• Post fake engagement listings or engage in recruitment scams
• Use the Services to transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Services or servers
• Frame or mirror any part of the Services without our permission
• Harvest or collect information about users without their consent
• Impersonate any person or entity
• Circumvent platform payments by taking engagements off-platform to avoid fees
• Use the Services for any commercial purpose not expressly permitted by noresume

9. Complaints Regarding Content

We ask that you report content and other information that you believe violates your rights, our Professional Community Policies, or otherwise violates this Contract or the law. We may remove or restrict access to content, features, services, or information if we believe it violates our policies or the law.

If you believe that any content violates this Agreement or our policies, please contact noresume at support@noresume.co.

10. Video Interviews

noresume offers video interview capabilities. Video interviews conducted through the platform may be recorded and transcribed. By using the video interview feature, you consent to recording, and that noresume and third parties can store, access, and analyse recordings. If you do not consent to recording, you must exit the interview.

Full details of how interview data is processed are set out in our Privacy Policy.

noresume is not responsible for technical issues during video interviews. You are responsible for ensuring a suitable environment and internet connection for interviews.

11. Data Processing

When you use our Services, we process data as described in our Privacy Policy. We use trusted third-party services to help us operate our platform, including for payment processing, authentication, video interviews, and email communications. Full details of our data processing activities, third-party services, and your data rights are set out in our Privacy Policy.

12. Intellectual Property Claims

If you believe content on our Services infringes your intellectual property rights, please contact us at support@noresume.co with:

• Identification of the copyrighted work or trademark
• Description of the allegedly infringing material
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury

13. Force Majeure

noresume will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation facilities, fuel, energy, labour or materials.

14. Professional Community Policies

All users must adhere to our Professional Community Policies, which include:

• Treating all users with respect and professionalism
• Not engaging in harassment, discrimination, or hate speech
• Maintaining honest and accurate representations
• Respecting confidentiality and privacy
• Following applicable laws and regulations

15. Beta Services

We may offer beta products or features ("Beta Services"). Beta Services are provided "as is" and may contain defects. We may discontinue Beta Services at any time without notice. Your use of Beta Services is at your own risk.

16. Indemnification

You agree to indemnify, defend and hold harmless noresume, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of:

• Your violation of this Contract
• Your use of the Services
• Your violation of any law or rights of a third party
• Content you post on the Services
• Any engagement or working relationship entered into through the Services

17. Referral Programme

noresume may offer a referral programme that allows users to earn rewards for referring new users to the platform. Participation in the referral programme is subject to the following:

• Referral rewards are funded from the platform's fees, not from the referred user's earnings
• Rewards are subject to minimum thresholds and payment schedules as displayed within the platform
• noresume reserves the right to modify, suspend, or terminate the referral programme at any time
• Fraudulent or abusive referral activity (including self-referral, fake accounts, or spam) will result in forfeiture of rewards and potential account termination
• Referral earnings are subject to applicable tax obligations. You are responsible for reporting and paying any taxes due on referral income

18. Accessibility

We strive to make our Services accessible to all users. If you need assistance or accommodation, please contact our support team at support@noresume.co. However, we cannot guarantee full accessibility for all users or assistive technologies.
